These Website Terms and Conditions (these “Terms“) govern your access to and use of www.beckons.com and any related webpages and digital platforms operated by Luxury Lodges US Holdings, LLC (“Beckons,” “we,” “us,” or “our“) (collectively, the “Website“).

By accessing or using the Website, you agree to be bound by these Terms. If you do not agree, please do not access or use the Website.

1. Scope

Beckons is a global hospitality company that owns and operates a portfolio of distinctive lodge properties (each, a “Lodge“), which may be owned and/or operated by Beckons or by separate affiliated legal entities (each, a “Lodge Operator“).

This Website serves as the corporate digital platform for the Beckons brand and provides information about our Lodges, services, and hospitality offerings. These Terms apply solely to your use of the Website and related online functionality.

Lodge Terms

These Terms do not apply to reservations, accommodations, on-property services, guest conduct, or any other matters relating to your reservation or stay at a Lodge. Those matters are governed exclusively by the separate terms and conditions applicable to the relevant Lodge and your reservation or stay (collectively, the “Lodge Terms“), which may be provided at the time of booking or upon arrival.

Your contractual relationship for any reservation or stay is with the applicable Lodge Operator, as identified in the relevant Lodge Terms. Beckons makes no representations or warranties regarding availability, pricing, quality, suitability, or condition of any accommodations, services, or experiences at any Lodge; all such matters are the sole responsibility of the applicable Lodge Operator and are governed exclusively by the applicable Lodge Terms.

In the event of any conflict between these Terms and any Lodge Terms, the Lodge Terms control with respect to reservations, accommodations, and on-property matters.

2. Permitted Use

You may access and use the Website only for lawful, personal, and non-commercial purposes and in accordance with these Terms. You agree not to use the Website:

  • In any way that violates any applicable federal, state, local, or international law or regulation;
  • To transmit any advertising, promotional material, junk mail, spam, chain letters, or similar solicitation;
  • To misrepresent your identity or affiliation with Beckons, any Lodge Operator, or any other person or entity; or
  • To engage in any conduct that restricts or inhibits anyone’s use of the Website or that may harm Beckons, any Lodge or Lodge Operator, or any other users.

You also agree not to:

  • Use the Website in any manner that could disable, overburden, damage, or impair the Website or interfere with any other user’s access;
  • Use any robot, spider, scraper, or other automated means to access, collect, extract, or download any Website Content (as defined below);
  • Copy, reproduce, distribute, modify, or create derivative works of any Website Content without our prior written consent;
  • Remove, alter, or obscure any copyright, trademark, or other proprietary notices;
  • Introduce any viruses, malware, or other material that is malicious or harmful;
  • Attempt to gain unauthorized access to any part of the Website or any connected systems or networks;
  • Attack the Website via a denial-of-service attack or a distributed denial-of-service attack; or
  • Otherwise attempt to interfere with the proper functioning of the Website.

Beckons reserves the right to suspend, restrict, or terminate your access to the Website at any time, without prior notice, if we believe you have violated these Terms.

3. Intellectual Property Rights

The Website and all text, images, graphics, video, audio, software, data, designs, logos, trademarks, and other content and materials on the Website (collectively, “Website Content“) are owned by Beckons, its affiliates, licensors, or other content providers and are protected by U.S. and international intellectual property laws.

The Beckons name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Beckons or its affiliates. You may not use these marks without prior written permission. All other trademarks on the Website are the property of their respective owners.

Subject to these Terms, Beckons grants you a limited, non-exclusive, non-transferable, revocable license to access and view the Website and Website Content solely for your lawful, personal, non-commercial use. All rights not expressly granted are reserved.

4. User-Generated Content

The Website may allow you to submit inquiries, feedback, reviews, comments, or other materials (“User Content“). By submitting User Content, you grant Beckons a non-exclusive, worldwide, royalty-free, perpetual, irrevocable, sublicensable, and transferable license to use, reproduce, modify, adapt, publish, distribute, display, and create derivative works from such User Content in any media for any legitimate business purpose, without compensation or attribution to you.

You represent and warrant that: (a) you own or have all necessary rights to submit your User Content and grant the license above; (b) your User Content does not infringe any third party’s intellectual property, privacy, publicity, or other rights; and (c) your User Content is accurate, not misleading, and complies with these Terms and applicable law.

You agree not to submit any User Content that: (i) is unlawful, defamatory, libelous, threatening, harassing, obscene, pornographic, hateful, discriminatory, or otherwise objectionable; (ii) infringes any intellectual property or proprietary right of any party; (iii) contains viruses or other harmful code; or (iv) constitutes unsolicited advertising, promotional materials, or spam.

Beckons has no obligation to monitor, review, or publish any User Content and may remove, edit, or refuse to publish any User Content at any time, in its sole discretion, without notice.

5. Third-Party Services and Links

The Website may incorporate or link to third-party services, websites, platforms, or tools, including booking engines, payment processors, mapping services, and social media platforms (collectively, “Third-Party Services“). Your use of Third-Party Services is subject to the terms and privacy policies of those third parties.

Third-party links are provided for convenience only and do not constitute endorsement by Beckons. Beckons does not control, and is not responsible for, the content, availability, privacy practices, or security of any Third-Party Services. Your use of Third-Party Services is at your own risk. Beckons is not liable for any loss or damage arising from your use of or reliance on any Third-Party Services.

6. Disclaimers, Availability, Security

The Website and Website Content are provided for general informational purposes only. While Beckons uses commercially reasonable efforts to provide accurate information, the Website may contain errors, inaccuracies, or outdated content. Descriptions of Lodges, amenities, services, and availability are subject to change without notice. You are responsible for independently verifying any information before relying on it. Some jurisdictions do not permit certain warranty exclusions. In such cases, the disclaimers below apply to the maximum extent permitted by applicable law.

6.1. No Warranties

THE WEBSITE AND WEBSITE CONTENT ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, BECKONS DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING, COURSE OF PERFORMANCE, OR USAGE OF TRADE.

6.2. No Guaranteed Availability

Beckons does not guarantee that the Website will be uninterrupted, timely, secure, or error-free. Beckons may modify, suspend, or discontinue any part of the Website at any time without notice or liability.

6.3. Security

7. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, BECKONS, THE LODGE OPERATORS, AND THEIR RESPECTIVE AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, AND SERVICE PROVIDERS (COLLECTIVELY, “BECKONS PARTIES“) SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, REVENUE, GOODWILL, DATA, USE, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH: (A) YOUR ACCESS TO, USE OF, OR INABILITY TO ACCESS OR USE THE WEBSITE; (B) ANY WEBSITE CONTENT OR OTHER INFORMATION OBTAINED THROUGH THE WEBSITE; (C) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON OR THROUGH THE WEBSITE; (D) ANY THIRD-PARTY SERVICES ACCESSED THROUGH THE WEBSITE; (E) ANY UNAUTHORIZED ACCESS TO, USE OF, OR ALTERATION OF YOUR TRANSMISSIONS OR DATA; OR (F) ANY OTHER MATTER RELATING TO THE WEBSITE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF BECKONS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL AGGREGATE LIABILITY OF THE BECKONS PARTIES FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE WEBSITE OR ANY WEBSITE CONTENT SHALL NOT EXCEED ONE HUNDRED DOLLARS ($100.00).

The limitations of liability in this Section apply only to claims arising out of or relating to your use of the Website and these Terms. These limitations do not apply to, and do not limit or affect, any liability arising under any Lodge Terms, or from accommodations, on-property services, or any reservation or stay at a Lodge.

You acknowledge that Beckons has offered the Website in reliance upon these disclaimers and limitations, which reflect a reasonable allocation of risk and form an essential basis of the agreement between you and Beckons.

For clarity, nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited under applicable law.

8. Indemnification

You agree to indemnify, defend, and hold harmless the Beckons Parties from and against any claims, demands, actions, liabilities, losses, damages, costs, and expenses (including reasonable attorneys’ fees and legal costs) arising out of or relating to: (a) your access to or use of the Website or any Website Content; (b) your violation of these Terms or applicable law; (c) your User Content; or (d) your infringement or violation of any intellectual property, proprietary, or other rights of any third party.

Beckons reserves the right to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, and you agree to cooperate with Beckons in the defense of any such claim.

9. Privacy

Your use of the Website is subject to the Beckons Privacy Policy, available at www.beckons.com/privacy-policy/ (the “Privacy Policy“), which is incorporated into these Terms by reference. By using the Website, you acknowledge that you have read, understood, and agree to the collection, use, disclosure, and processing of your personal information as described in the Privacy Policy.

10. Miscellaneous

10.1. Governing Law and Jurisdiction

These Terms, and any dispute or claim arising out of or relating to these Terms, their subject matter, or their formation, shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles.

You agree that any legal action or proceeding arising out of or relating to these Terms or your use of the Website shall be brought exclusively in the state courts of the State of Delaware or the United States District Court for the District of Delaware, and you hereby irrevocably consent to the personal jurisdiction and venue of such courts.

10.2. Jury Waiver

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU WAIVE THE RIGHT TO A TRIAL BY JURY IN ANY ACTION OR PROCEEDING ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE WEBSITE.

10.3. International Users

The Website is operated from the United States. If you access the Website from outside the United States, you do so at your own initiative and are responsible for compliance with local laws to the extent they apply. Beckons makes no representation that the Website or Website Content is appropriate or available for use in any particular location.

No waiver by Beckons of any term or condition set out in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of Beckons to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms will continue in full force and effect.

10.7. Entire Agreement

These Terms, together with the Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and Beckons with respect to your use of the Website and supersede all prior or contemporaneous communications, understandings, and agreements, whether oral or written, relating to such subject matter.
